The publication of defamatory, infringing, abusive, or unlawful materials, or the sharing of unauthorized download links, crack scripts, or pirated serial keys, will result in immediate termination of community privileges and permanent revocation of software licenses without refund.

9. Disclaimer of Warranties

Except for the explicit 30-Day Performance Guarantee outlined in Section 6, the Site, Software, tutorials, documentation, and technical support services are provided strictly on an "as is" and "as available" basis, without warranties, conditions, or representations of any kind, whether express, statutory, or implied. To the maximum extent permitted by applicable law, Matronius disclaims all implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and title. Matronius does not warrant that the Software will meet your personal requirements, will operate uninterrupted or free of errors, or that all software bugs or script defects will be corrected. You assume full operational risk regarding the installation, deployment, and performance of the Software within your artistic and computing pipelines.

10. Limitation of Liability

Nothing in these Terms shall limit or exclude liability for death or personal injury resulting from negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable consumer law.

11. Indemnification
You agree to defend, indemnify, and hold harmless Matronius Limited, its corporate officers, directors, contractors, and agents against any third-party claims, liabilities, damages, losses, costs, or legal expenses (including reasonable legal fees) resulting from or arising out of: (a) your breach of any provision of this Agreement; (b) your unauthorized use, redistribution, or modification of the Software; (c) your violation of third-party intellectual property or proprietary rights; or (d) commercial deployment executed under a Standard Personal License.

12. Governing Law and Exclusive Jurisdiction

This Agreement, and any disputes, claims, or non-contractual obligations arising out of or in connection with its subject matter, shall be governed by and construed in accordance with the laws of England and Wales. You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or legal proceedings arising out of this contract. For consumers situated within jurisdictions where statutory consumer rights mandate local forum adjudication, mandatory domestic legal protections shall remain unimpaired.

13. Severability and Complete Agreement

If any clause or sub-clause of these Terms is found by an arbitrator or court of competent jurisdiction to be invalid, unlawful, or unenforceable, that specific provision shall be severed, and the remainder of this Agreement shall remain in full force and effect. This document, alongside the incorporated Privacy Policy and Cookie Policy, constitutes the complete, final, and exclusive understanding between you and Matronius regarding software licensing and Site usage, superseding all prior oral or written agreements.

14. Global Creative Access and Purchasing Power Parity (PPP) Terms
14.1 Principle and Intent. Matronius Limited is committed to democratising 3D workflow engineering. To support individual creators operating in emerging economies, Matronius Limited provides regional price adjustments via Purchasing Power Parity ("PPP") protocols. These adjustments reflect international cost-of-living indices and currency purchasing power, as determined by World Bank and IMF economic conversion indicators.
14.2 Geographic Eligibility and Verification. PPP adjustments are reserved exclusively for permanent residents and individual digital creators domiciled within designated qualifying territories. Dynamic regional adjustments are calculated algorithmically at checkout based on verified network geolocation, origin billing addresses, and corresponding payment instrumentation. Matronius Limited implements technical verification controls, including automated proxy and commercial virtual private network ("VPN") detection engines.
14.3 Prohibition of Arbitrage and Circumvention. Accessing regional pricing programmes through technological misrepresentation—including, but not limited to, the utilisation of proxy networks, commercial VPN masking, fraudulent IP spoofing, or offshore payment forwarding—constitutes a material breach of these Terms of Service. Any attempt to artificially manipulate geographical checkout variables to bypass standard pricing models will result in immediate termination of the checkout process.
14.4 Licensing Scope and Non-Transferability. All software licences, registration keys, and access credentials issued under regional PPP parity initiatives are strictly single-user, non-transferable, and restricted to personal or independent freelance use within the country of origin. Parity-adjusted licences may not be resold, sub-licensed, reassigned, or deployed within multi-seat enterprise environments, commercial studios, or multinational agencies.
14.5 Auditing, Suspension, and Revocation. Matronius Limited maintains automated operational systems to monitor licensing integrity. Where an active licence key exhibits ongoing activation patterns outside the designated purchasing jurisdiction without documented travel authorisation, Matronius Limited reserves the right to:Invalidate or suspend the software licence key with immediate effect;Revoke access to ongoing product updates, documentation assets, and Discord community resources;Retroactively invoice the licensee for the outstanding differential between the regional parity price and the global standard retail price.
